As always, this fight will come down to speed. Speed is always the most important factor in a battle. Even a much weaker opponent can beat someone else if they outclass them horribly in speed. Thankfully, Sasuke has both the speed and strength advantage in this battle.

Sasuke, at this time, had the fastest speed in the Manga, rivaled only by Lee, Gai, and Kakashi. He moved nearly instantaneously to a killing position on Naruto, and his speed even surprised an elite Jounin. In the end, Neji won't even be able to keep up with Sasuke's movements. Neji has close to zero speed feats, much less any that put him on this level. Truthfully, this fight is over before it even begins; Sasuke blitzes Neji, and shoves a sword through his back.
Now even though Sasuke's speed alone is enough to take out Neji, I'll throw a few others things out there.

Heavenly rotation will do next to nothing against Sasuke's jutsu. It has never tanked anything close to Kirin. It's only ever reflected shuriken and other projectiles. Kirin will obliterate Neji with zero difficulty.
Susano'o barely managed to tank it;

Susano'o only began to reform here, meaning Kirin destroyed it the first time.

rotation won't even be tanking this. If this hits Neji, or if Neji attempts to block it with Rotation, he will die. Rotation itself may be enough to block a mere fireball, but a focused Dragon Flame Technique will destroy it.
Besides, Neji has close to no offensive capabilities against Sasuke. Sasuke has mastered the 3-Tomoe sharingan, known for being able to read movements before they happen; Neji's Gentle Fist is rendered completely useless, and Sasuke will destroy him if it comes to a Taijutsu battle.
I haven't even gotten to Genjutsu yet.

Sasuke's prowess with 3-Tomoe Sharingan is so powerful that he managed to overcome Tsukuyomi itself. If Neji is caught in Sasuke's genjutsu, it's a one-shot. Neji has displayed nothing to suggest he could break out of a Genjutsu that rivaled Tsukuyomi itself. When it comes to actually hitten Neji with the Genjutsu, again it's possible because of Sasuke's speed. While Sasuke could use his speed to simply kill Neji with a chidori or his sword, he could also use it to manuver himself into a position where he can afflict Neji with Genjutsu, and then it's over.
Byakugon is almost useless in this fight. Even if Neji manages to activate it, he still won't be able to keep up with Sasuke's speed. Just because you can see close to 360 degrees, doesn't mean you can magically react to something that is faster than you.

Everything I stated above is only amplified once the Curse Mark comes into the picture. As soon as Sasuke activates Curse Mark, it's a zero-diff stomp for him. Neji has no counter against Sasuke flying into the air and shooting Dragon Flame Missiles, or anything with an arial advantage.

There is also the fact that Sasuke has all of Orochimaru's techniques after he absorbed him. Striking Shadow Snakes, Snake Glare Genjutsu, and of course Oral Rebirth. Since Sasuke has Oral Rebirth, Neji can't really put him down (not that Neji would even land a hit on Sasuke thanks to the mastery of the 3-tomoe).
All in all, Hebi Sasuke is just far too powerful for Neji. The fact that Neji can't keep up with Sasuke's speed, and can't even hit Sasuke with his offensive techniqes, verifies the fact that Neji loses.

Hell not to mention that Lee was saving the gates to use on Neji himself. So with that said, Neji has already been hyped up to take on someone like Lee in terms of Taijutsu.

(1) Part 1 Cloaked Naruto is faster than Hebi Sasuke? Please.
Hebi Sasuke moved nearly instantaneously. Nobody even saw him moving. Naruto, on the other hand, could clearly be seen jumping from wall to wall.
Hebi Sasuke's speed >> Cloaked Naruto.
(2) As for his Katon, Heavenly Rotation may be able to be used a few times, but Neji doesn't have infinite chakra. As soon as he runs out, Neji is done for. And Neji will run out faster than Sasuke, since Sasuke has the extra chakra of the Curse Mark.
(3) Your argument against Kirin is laughable and complete speculation at best.
First of all, an Air Palm is not going to stop Kirin; after all, Kirin isn't something solid like the Juubi's hand. Kirin will laugh it off and continue on to destroy Neji.
Secondly, you have zero proof Neji could do an air palm on this level regardless. That's just speculation and not backed up by anything.
Lastly, Sasuke can use Kirin on a whim when he has chakra;

Sasuke was about to use Kirin without any prep. The only reason he needed prep against Itachi was because he was running out of chakra, and needed the extra assitance of the storm.
(4) Sasuke can't use 3-tomoe Genjutsu? What are you talking about?
Of course he can. He fought off Itachi's Tsukuyomi with it.
(5) Neji won't be able to land a single hit on Sasuke thanks to the 3-tomoe mastery, in which Sasuke can read all of Neji's movements before they happen. Neji has zero chance of landing a single poke on Sasuke.

Sasuke was smart enough to use the surrounding heat to form thunder clouds, because his chakra was waning and he needed the extra assitance to form and cast Kirin.
Sasuke managed to trick Itachi of all people with the Shadow Shuriken Jutsu.

Again, you've provided nothing that suggests Sasuke can't just speed blitz Neji and shove a sword through his back. I compared the blitz (which was basically the same, but keep in mind that was kid Neji), not their running speed, in terms of running speed Sasuke Uchiha is not that fast, surely you have seen the Itachi vs Sasuke fight, not once was Sasuke capable of blitzing him like he did to Naruto. NOT ONCE. And lets not forget the databook stats put Neji and Sasuke equals in regards to speed, both have 4.5, and also Byakugan gives Neji the ability to track him down.
2.Neji hasn't ran out so far, so hes all good. However, you keep trying to make it that Neji can't hit Sasuke, while Neji is shown a superior taijutsu person then Lee, who is times better then Sasuke in regards to speed. Neji will hit Sasuke. Neji doesn't have to waste his chakra at all. In fact that is what his taijutsu style focuses on.
3. False assumption and analysis is made on your part. Kirin is in fact lightening. If wind hits a big lightening it is split apart or completely destroyed. The size of that air palm is bigger then Kirin or atleast that size, and no way in hell is Kirin going to tank that without being split apart. IF IT WAS SOLID, IT MIGHT.... but since its pure lightening it won't.
We don't know if he was going to use Kirin or not. But Manga states clouds are needed.

4.Yes I made a mistake on that part, he used a genjutsu on Deidara. However, that genjutsu is nothing for someone like Neji Hyuuga. Who doesn't need to look into Sasuke's eyes at all. In fact he can make them utterly useless

1. Speedblitz IS running speed. Sasuke is faster than Neji, hands down, unless you can provide scans of Neji moving near instantaneously. Sasuke wasn't blitzing Itachi because they both had the Sharingan.

It doesn't matter, regardless. Neji won't have time to air palm the lightning since (1) it's instantaneous (2) Neji has no idea it will be coming.
Kirin absolutely fodderizes Neji. Clouds are obviously not needed, since Sasuke was about to use it on Naruto and Company.

Now that he has mastered the 3-tomoe, Predicting and countering Neji's gentle fist will be a cakewalk. The Sharingan is the perfect counter to Gentle Fist.
