Loactation: the hallway they were in. while jiraya was talking shit (while itachi could have used tsukuyomi or amerterasu on the spot two things jiraya has no defence against in his base form).

Mindset: Itachi intent to kill (unlike before when he had no intentions of killing strong leaf ninja)
Kisame Intent to kill same with jiraya

restictions: none

Condition: all healthy full stamina

Itachi and Kisame would win. Itachi never wanted to fight Jiraiya, Itachi loved the leaf and saw Jiraiya as an extremely important person.

-Itachi: Sasunoo, Amaretsu, Tsyuknomi, above avg taijutsu, above avg ninjutsu, s-ranked ninja, genius and being an anbu at like 10

-Kisame: Tailed beast chakra, water ninjutsu master, chakra absorption monster, s-ranked ninja and huge physical strength.

vs.

-Jiraiya: above avg taijutsu, above avg ninjutsu, sage/kage, sage mode, smart and summoning

There is no way Jiraiya could out do both in taijutsu or ninjutsu. It takes awhile to active sage mode so Kisame could take his chakra or Itachi could burn him or put him in a genjutsu which is Jiraiya's weakness
