I fully agree that even with oral rebirth, Ay will make him overuse it and gradually beat him if Oro isn't constantly moving. However Orochimaru's movements are also quite fast and more importantly unpredictable while in snake body, and he will also have summons to assist him in catching Ay off balance for long enough to lure him into genjutsu and impale him with Kusanagi. My first thought here being that Oro absolutely outclasses Ay in intelligence.
