If chakra = reiatsu here, then Itachi sees him charging the attack (which he would even if it didn't, since you can visibly see a cero charging), and dodges it. He's easily quick enough to, or he could just disperse into crows to avoid it. Ulquiorra has no defense against genjutsu, since it's not even a thing in Bleach, and easily falls susceptible to Itachi's Tsukuyomi... or any other genjutsu, for that matter. From there, Itachi can finish him off with his powerful Fire Release jutsu or Amaterasu, since Ulquiorra's durability is a definite factor.

But it doesn't, so Genjutsu only works in the NV meaning that Itachi gets stomped on.

True enough. The OP does say all energy sources are the same, though, so I assume reiatsu = chakra, here. Otherwise, Ulquiorra's got him, with easily better speed and strength feats to back him up.
