Itachi wins. Remember, Sasuke's genjutsu was a farcry from Itachi's when he fought Bee, so Itachi could easily manipulate Bee and Hachibi without using much effort. It won't be an easy victory though.

Honestly, Hachibi formation only makes it easier to seal him with Totsuka. Itachi takes this mid-high dif.

Saying that the Hachibi will wake Bee up from genjutsu is pointless. Especially when Itachi caught Bee in it using only 3-tomoe sharingan and it took 4-5 seconds for Hachibi to break it. 4-5 seconds is more than enough time to kill someone.

Bijuu damas are slow and Itachi isn't going to stand there and let them hit him. He most likely wouldn't even let the battle escalate to that point anyway. If Bee is in Hachibi form, it makes it even easier for him to be sealed away w/ Totsuka, due to being a huge target that is not so fast.

Bee was in alot of pain when hit my amaterasu and he cannot use substitution forever, he'll run out of chakra and it takes alot out of him.

Itachi is immensely faster then bee, he doesn't even need to activate the MS to win.

Remember in the manga where Itachi blitzed bee before bee could react?

Bee only survived because Itachi let Bee know where he was. if Itachi wasn't being conscious he would've just blitzed and cut poor bee in half
