Itachi is put at a disadvantage because of how Danzo fights. By using Izanagi the fight will take ten minutes before all of Danzo's sharingan are depleted. Since Itachi isn't known for his vitality this could put him in hot water if the fight is allowed to continue this long.

However since Danzo doesn't possess any OP offensive techniques and was caught by genjutsu twice against Sasuke I think Itachi, being the superior genjutsu user, will most likely be able to manipulate Danzo into a loss.

Also we know Danzo was scared of Itachi as shown by Itachi's return to the village after the death of the 3rd Hokage to keep Danzo away from Sasuke.

Since genjutsu is Danzo's weakness I'd say Itachi.
