Madara has access to the Kyuubi

Sesshomaru has Bakusaiga but since Susanoo and Kyuubi aren't Organic Matter (Both are just chakra) it's special decomposition ability doesn't work on them.

Who wins?

I'll go with Madara. A casual sweep of his Susanoo sword leveled mountains, Sesshomaru's Dragon Strike isn't at that level yet.
