I'm going off what I know and read of both of them. Captain might be the leader of the Avengers and all but it doesn't necessarily make him top notch material. Spider-Man has way more strength and speed than Cap. To top it off, Peter Parker is really smart and is known to out smart many people. Cap fights better and is good with weapons but what truly gives this match away is the spidey sense. With that Captain can't do that much to Spider-Man.

Mind you I stopped reading at Spider Island, but Peter lost his Spider Sense and had to train with Iron Fist to improvise a new way to defend himself. Also Cap has proven to be one of the best strategical thinkers in Marvel. Spiderman would definitely win but it wouldn't be easy by any standard, it'd be a long hard fight.
