Tobi has his fan and intangibility only (Note that he can go intangible and keep his fan tangible).

Madara has a sword and can use Susanoo arms like Itachi (Note that he doesn't need to move his hand to make them).

Intent: To kill/warp

The two are restricted to what I mentioned above (so no Gedo Mazo, Perfect Susanoo, Mokuton, etc.)

when did tobi keep his fan tangible when he is intangible? its either he is intangible or he is not. the fan seems to be connected to his body by the chain. tobi hasnt shown any impressive taijutsu feats. he only needs a touch though. but there was still time to intercept his warping even after he touched naruto. madara already proved that he was fast enough to take out the majority of the 4th division using kenjutsu while avoiding gaaras sand. if tobi gets close to touching him then madara put up ribcage susano and manifests the fist or something to counter when tobi turns tangible.

no he just became tangible when he was in the ground. he turned intangbile to make the fan go through the rock. hes already shown that he can go tangible while in an object.

Tobi wins because I know for sure Madara is as fast as Minato and most likely won't be able to hit him. Tobi has shown some great strength and skill in taijutsu putting him on par with Madara. On the other hand, Tobi also has intangibility which puts Tobi at a severe advantage so imo Madara has little chance.
