Good but your answer to the question is wrong. The best defense is to defend, evade before the first strike. Once the fist strike goes through, they continue to disrupt you chakra and make you unable to react until the strikes are over. Thats why jyuken is quite dangerous. This only applies to strikes that closes chakra nodes and junctions.

As for the question I would assume that the user channels chakra into his opponents tenketsu until they bust.
After this Keji's previously created shadow clone would grab a nearby Priest clod by the chest and throw it into the air. As the clone was positioned above Keji's clone would strike it with a palm strik to the heart dispersing it.
For the aerial attack version 1, I would probably use a form of rotation to repel my opponent. If that wasn't possible I would use a form of elemental jutsu to defend myself. For version 2, I would use a rotation to expel the excess build up of chakra preventing my tenketsu from bursting though I believe I would still suffer some physical damage.
As for spirit palm, I would counter when the opponent grabs me. What I use to counter would depend on the situation I am in.
I believe these would be counter-able since they don't disrupt my tenketsu by closing them which still allows me to mold chakra.

With your byakuan, you are able to see the chakra gates too. so you can close them like closing a tenketsus. Very useful when fighting the anoying EIG users.
HINT: If I say you deal with a situation, you can use any means/jutsu to get yourself out and evade/defend and then use the technqiue you were given.
As the first clone appears and goes for a leg sweep Keji would return the favor by matching its kick with a kick(Kikku) of his own stopping the clones movement. As he finished with the first clone Keji noticed another clone dropping in from above and just before the clones kick lands Keji covers his body in a thin layer of stone(Doton: Koka no Jutsu). Seeing the chakra flow of another approaching Keji from behind he would turn and as he does several kunai would appear. Keji would respond by drawing his blade and deflecting all of the kunai while keeping an eye on the clone. As the last kunai was deflected the clone would attempt to land a lateral elbow. Keji would respond by side-stepping the assault and placing his off-hand on the clones rib cage and unleashes so much chakra that it breaks all of the clones ribs, ruptures the lungs, and destroys its heart.
The stones around you quickly revert back to clones from their henge form. The quickly overwhelm you while holding you down for the main assault. Another clone would have launched high into the air and drop downward, sword pointing towards you and spinning like a drill so that he drills you into the ground.
So you finally have a situation that I'll allow for two jyuken technique to be used. The first to free you then the second is the assault. The first also is offensive.[/spoiler]

As Keji is restrained he would see a clone jump into the air pull out a blade and begin spinning downwards towards him. Utilizing what he just learned Keji pushes chakra from all his tenketsu dispersing the clones. As they poof he begin channeling chakra into his palms and shaping it into twin lion heads. Once formed he would launch his left lion at the remaining clone disorienting it while he launched his right lion to finish it off.
It can be used to break out of body restraints or equal rank or lower. Examples of this are when neji was trapped in a water prison by kisame and when neji was bound to a tree bt kidomaru. I believe this is also neutral to elemental jutsu as it can repel a water prison.
